Job Summary
The Vice President, General Counsel, a key member of ZOLL's executive team leads the legal, intellectual property, and compliance functions across ZOLL's global operations. Serving as the principal legal advisor to the CEO, Presidents, and other key partners, the VP/GC is responsible for ensuring the organization complies with healthcare regulations, corporate governance standards, regulatory, compliance and commercial legal matters. This executive role combines legal expertise with strategic leadership and influence, manages compliance and risk to protect and advance the company's interests. Reporting directly to the CEO, this role ensures legal integrity while supporting innovation in the company's medical device businesses.

Essential Functions

  • Strategy –Implement the overall legal philosophy and strategy regarding all legal matters ensuring compliance with policies and practices.

  • Management & Leadership – Member of Corporate Executive Team and provide thoughtful and accurate legal guidance to the executive staff on all matters that affect the company. Manage global legal operations including corporate, commercial, regulatory, compliance, litigation, labor/employment and intellectual property working across multiple divisions.

  • Corporate Governance - Ensure proper corporate governance and support the company in preparation for future strategic milestones. Serve as Corporate Secretary, and liaison on legal, risk and compliance matters with our parent company, based in Japan.

  • Compliance – Manage the compliance, risk management and legal services functions. Select, evaluate and manage outside counsel for the company. Ensure adherence to applicable regulations, international medical device standards and healthcare laws including HIPAA and anti-kickback statutes.

  • Business/Corporate Development – Support transactional RFP submissions in multiple jurisdictions, as well as corporate acquisitions, divestments and investments.

  • Contract Management – Advise on complex commercial agreements including manufacturing, supply chain, distribution, clinical and licensing contracts.

  • Risk Mitigation – Identify and manage legal risks associated with product liability, recalls and product safety.

  • Privacy – Provide guidance on global privacy laws (e.g., GDPR, HIPAA), anti-corruption laws (e.g., FCPA) and healthcare compliance

  • IP Strategy – Manage and protect the company’s intellectual property portfolio in collaboration with technical and commercial stakeholders.


Required/Preferred Education and Experience

  • JD from an accredited law school; admission to the bar with a clean disciplinary record

  • 15+ years of legal experience, preferably in healthcare or medical technology


Knowledge, Skills and Abilities

  • Proven understanding of intellectual property laws, FDA laws and regulations, Anti-Kickback laws and other laws affecting the medical device industry.

  • Strong leadership, analytical and communication skills

  • Experience managing legal teams and working cross-functionally with Senior Executives, R&D, regulatory and commercial departments.

  • Proven experience managing legal issues related to product development, global manufacturing, distribution and market access.

  • Strong business acumen with the ability to balance legal risk and commercial opportunity in a private company environment.

  • Experience with acquisitions including the negotiation of related agreements and integration activities

  • Demonstrated success in building and leading global legal and compliance teams.

  • Exceptional oral and written communication and interpersonal skills, including the ability to actively listen

  • Ethical integrity and strong analytical skills

  • Excellent business judgment and sound decision-making ability

  • Executive humility and ability to interface professionally and effectively with all levels of personnel internally and externally

  • Working knowledge of healthcare compliance regulations (e.g., state and federal anti-corruption, fraud, waste and abuse, anti-kickback, corporate practice of medicine, Sunshine and Stark laws) and privacy regulations (e.g., HIPAA, GDPR, CCPA and CCPRA)

  • Ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on ZOLL diverse and evolving needs


Travel Requirements

This position is based in ZOLL’s Chelmsford, MA Headquarters, with travel up to 25% of the time to conduct business, as needed, among our worldwide locations.
